CII & RMKB organised a seminar on “Doing Business in America & Managing the Risk” held on 9th March 2018 at Bengaluru. Aman Choudhari, Vice Chairman, CII Karnataka & Managing Director, Surin Automotive Pvt Ltd welcomed Michael Ioannou, Sonia Agee, Andrew Margulis and Mahima Kheterpal from Ropers Majeski Kohn & Bentley, P.C.’s (RMKB) and Vivek Vishwabhan, eDiscovery Program Manager at the Intel Corporation.

Indo-US bi-lateral trade is estimated to be around $140 billion in 2017. According to a survey report released by CII in 2017 titled ‘Indian Roots American Soil’100 Indian companies have made tangible investments more than $17.9 billion across the United States. These investments are spread across 50 states and have generated employment for over 113,423 people.

The recent passage of tax reform by the U.S. Congress - regarded as the largest change to the tax laws in the U.S. since the 1980s – is of concern to Indian companies. The concerns are the global ramifications of the U.S. headline tax rate decrease, the impact on overseas partners and initiatives following the transition to a territorial tax system and new overseas’ tax burdens, and lastly whether provisions to limit interest deductions could stifle Indian MNC’s U.S. growth.

Michael Ioannou, Chairman, RMKB and Mahima Kheterpal, Associate, RMKB spoke on Multinational privacy law compliance, employment law compliance regarding displaced workers and rebadging exposure, structuring of the transaction and IP licensing, IP transfer & license back transactions. Michael also spoke on United States Privacy Law Compliance which included patchworks of laws on Federal Credit Reporting Act (FCRA – regulated by FTC), Fair & Accurate Credit Transactions Act and Red Flags, Rules (FACTA – regulated by FTC) etc.

Sonia Agee, partner at RMKB gave her views on “Cross border mergers and acquisitions” that involved Benefits of cross border M&A, success strategies, anatomy of the deal, closing a deal and post-closing Issues.

Andrew Margulis partner at RMKB and Mr. Vivek Vishwabhan, eDiscovery Program Manager at Intel Corporation, gave presentation on Litigation in the U.S and Mitigating the Risks.

Finally, the speakers covered many of the questions and concerns of all CII members present at the seminar regarding topics such as cross border mergers and acquisitions, U.S. litigation and mitigating risks, issues in outsourcing transactions, as well as insurance risks for outsourcing transactions and IP claims.
