Corporate governance is central to building resilient, responsible and globally competitive enterprises. In today's rapidly evolving business environment—characterised by technological disruption, sustainability imperatives, heightened stakeholder expectations, geopolitical uncertainties, and increasing regulatory scrutiny—strong governance has become a strategic driver of long-term value creation, investor confidence, and business resilience.
Governance today extends beyond regulatory compliance. It encompasses ethical leadership, board effectiveness, sound risk management, transparency, accountability, stakeholder engagement, and responsible decision-making. As businesses navigate emerging issues such as ESG, artificial intelligence, cybersecurity, digital transformation, and supply chain resilience, robust governance frameworks are essential for sustaining trust and competitiveness.
The Confederation of Indian Industry (CII) has been at the forefront of advancing corporate governance in India for over two decades. CII's pioneering Desirable Corporate Governance: A Code (1998) was the country's first voluntary corporate governance code developed by an industry association. It laid the foundation for many subsequent governance reforms and established CII's leadership in promoting global standards of corporate governance in India. Through successive reports, policy recommendations, and thought leadership initiatives, CII has consistently encouraged companies to adopt governance practices that go beyond statutory requirements and reflect the highest standards of integrity, accountability, and transparency.
CII works closely with government, regulators, industry, investors, independent directors, governance professionals, and academia to strengthen India's corporate governance ecosystem. The Institute has played an important role in shaping the policy discourse by engaging constructively with policymakers and regulators on governance-related legislation, regulatory reforms, securities market regulations, and ease of doing business. CII continues to advocate a balanced regulatory framework that promotes responsible corporate conduct while encouraging innovation, entrepreneurship, and sustainable business growth.
A strong proponent of voluntary adoption of best practices and self-regulation, CII believes that effective governance is best achieved by embedding ethical values and responsible business conduct into organisational culture rather than through compliance alone. It therefore focuses on creating awareness, building institutional capacity, and equipping boards and senior management with practical guidance to address emerging governance challenges.
Through its Corporate Governance Council, national conferences, board leadership programmes, publications, research, policy advocacy, and knowledge platforms, CII provides a forum for dialogue and dissemination of global and Indian best practices. These initiatives help companies strengthen board effectiveness, enhance governance capabilities, improve risk oversight, and build organisations that are transparent, accountable, and future-ready.
By fostering excellence in corporate governance, CII remains committed to supporting businesses in creating sustainable value for shareholders and stakeholders alike, while contributing to India's aspiration of becoming a trusted, globally competitive, and responsible economy.
